Acceptance of Terms

By accessing and using the xDigitalcard.com website (the "Site") and any services provided by xDigitalcard.com (the "Services"), including but not limited to creating digital cards and mini websites, ordering physical NFC cards, and any other features, functions, or applications available through the Site, theuserr (the "User") agrees to be bound by these terms and conditions (the "Terms"). If the User does not agree to these Terms, the User should not use the Site or the Services. These Terms constitute a legally binding agreement between the User and xDigitalcard.com.

Use of the Site andservicessThe User is responsible for obtaining and maintaining all necessary equipment and ancillary services needed to connect to, access, and use the Site and the Services, including but not limited to computersrs, mobile devices, software, web browsers, and internet access (collectively, the "System Requirements"). The User is responsible for all charges related to the System Requirements.

Account Creation and Security

To use certain features of the Site and the Services, the User may be required to create an account (an "Account"). The User represents and warrants that all information provided during the Account creation process is accurate and complete. The User is responsible for maintaining the confidentiality of the User's Account login information and is fully responsible for all activities that occur under the User's Account, whether or not authorized by the User, including, all purchases made through the User's Account. The User agrees to immediately notify xDigitalcard.com of any unauthorized use of the User's Account or any other breach of security related to the User's Account. xDigitalcard.com will not be liable for any loss or damage arising from the User's failure to maintain the confidentiality of the User's Account login information.

Intellectual Property

The Site and the Services, including but not limited to all content, software, code, algorithms, databases, designs, graphics, logos, trademarks, service marks, slogans, taglines, and other proprietary materials (collectively, the "Intellectual Property"), are owned by or licensed to xDigitalcard.com and are protected by intellectual property laws, including but not limited to, copyright, trademark, patent, trade secret, and unfair competition laws, both domestically and internationally, as applicable (the "IP Laws"). The User acknowledges and agrees that it will not acquire any ownership or other proprietary rights in the Intellectual Property by using the Site or the Services and that it will not take any action inconsistent with xDigitalcard's ownership or license rights in the Intellectual Property, including but not limited to, attempting to register or registering any trademark, service mark, or trade name that is confusingly similar to any Intellectual Property, or attempting to reverse engineer, decompile, disassemble, or otherwise derive the source code, algorithms, or trade secrets related to the Intellectual Property, or otherwise infringe upon any IP Laws related to the Intellectual Property.

User Content

The User is solely responsible for any content that the User submits, posts, uploads, or otherwise makes available through the Site or the Services, including but not limited to text, images, audio, video, and other materials (the "User Content"). The User represents and warrants that all User Content provided by the User is accurate, complete, and not misleading and that the User has all necessary rights, licenses, consents, and permissions to provide the User Content and to grant xDigitalcard.com all rights and licenses granted herein. The User agrees to indemnify, defend, and hold harmless xDigitalcard.com, its officers, directors, employees, agents, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to any User Content, including but not limited to, any claims related to the User's failure to obtain any necessary consents, licenses, or permissions.

IN NO EVENT WILL XDIGITALCARD.COM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, OR DATA) ARISING OUT OF OR RELATED TO THE USE OF THE SITE OR THE SERVICES, REGARDLESS OF WHETHER XDIGITALCARD.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE MAXIMUM AGGREGATE LIABILITY OF XDIGITALCARD.COM ARISING OUT OF OR RELATED TO THE USE OF THE SITE OR THE SERVICES WILL BE LIMITED TO THE AMOUNT PAID BY THE USER TO XDIGITALCARD.COM IN THE 12 MONTHS PRECEDING THE CLAIM.

The User agrees to indemnify, defend, and hold harmless xDigitalcard.com, its officeany directors, employees, agents,anyates from and against a out ormages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to the User's use of the Site or the Services, including but not limited to, any claims related to the User's breach of these Terms, the User's violation of any IP Laws, or the User's infringement of any third-party rights.

xDigitalcard.com reserves the right to terminate thel ed o so Sit without notice, for any reason, including btroppoductto a breach of tServices oror any other policies or guidelines rthe theirthe Stheir the Services or any other conduct that xDigitalcard.com, in its sole discretion, deems to be detrimental to the Site or the Services, or any other xDigitalcard.com product or service. Upon termination, the User's right to use the Site and the Services will immediately cease, and the User will be responsible for any outstanding fees or charges related to the Site or the Services.

Govbyisdiction

These Terms will be governed by and construed in accordance with the laws of the State of [State], without giving effect to any choice of law or conflict of law provisions. No waiver by xDigitalcard.com of any breach or default hereunder will be deemed to be a waiver of any subsequent breach or default.
